Please read these terms of service (" Agreement") carefully as this Agreement constitutes a binding contract between the user that accepts this Agreement (" Customer") and Mainstreet Inc., a Delaware company (" Mainstreet") governing your access to the Mainstreet website and use of the services (" Mainstreet Services") available through the website and any mobile applications (each an " App") through which they may be made available (the website, Mainstreet Services and the App shall be collectively referred to herein as the " Services").
By checking an opt-in box, clicking on "I accept", "I consent", "Create Account" or otherwise accepting this Agreement, installing the App, accessing any content on the website or otherwise accessing or using the Services, Customer acknowledges that they have read, understood, and agree to be bound by and comply with the terms of this Agreement.
Mainstreet reserves the right, in its sole discretion, to change, modify or otherwise alter this Agreement, or any policy or guideline applicable to the Services, at any time. If Mainstreet does so, reasonable efforts will be made to communicate these changes via a notice on the Application and website.
Except for certain kinds of disputes described in the Arbitration provision below, Customer agrees that disputes arising under this Agreement will be resolved by binding individual arbitration, and BY ACCEPTING THIS AGREEMENT, CUSTOMER AND MAINSTREET ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
The Services consist of cloud-based financial tools and services which may include (i) bookkeeping, financial data storage, reporting and processing services, (ii) tax credit discovery and claiming services, (iii) entity formation and compliance services, and (iv) the service of communicating information to, from and among third party service providers, as per Customer instructions.
Mainstreet will provide the Services to Customer for the term of this Agreement, subject to the payment of applicable fees and compliance with the terms of this Agreement. As part of the Services, Mainstreet hereby grants to Customer a limited, non-exclusive, non-transferable, non-assignable right to use the Services, as per the terms of this Agreement.
Mainstreet reserves the right, in its sole discretion, to change, modify, add, or remove portions of the Services without prior notice to Customer or consent of Customer. Mainstreet may also, from time to time, schedule downtime for maintenance and upgrades to the Services.
Customer involvement and responsiveness are imperative to the successful delivery of Services. Customers are solely responsible for providing the requisite documentation to Mainstreet in a timely manner to ensure deadlines are met. Mainstreet cannot perform the Services if the Customer does not provide documents promptly.
To access the Services, Customer must create an account (" Account") by providing accurate and complete information. Customer is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
Customer agrees not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services. Customer shall not attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services.
Customer agrees to pay all fees associated with the Services as outlined in the pricing schedule. Fees are due and payable in advance on a monthly or annual basis, as selected by Customer. All fees are non-refundable except as expressly provided in this Agreement.
This Agreement begins when Customer accepts these terms and continues until terminated by either party. Either party may terminate this Agreement at any time with 30 days' written notice. Upon termination, Customer's access to the Services will cease and all data may be deleted after a reasonable retention period.
The Services and all related technology, software, and content are the proprietary property of Mainstreet and its licensors. Customer is granted only the limited rights expressly set forth in this Agreement. No other rights are granted, either express or implied.
Customer retains ownership of all data, information, and content provided to Mainstreet (" Customer Data"). Customer grants Mainstreet a limited license to use Customer Data solely to provide the Services. Mainstreet will maintain the confidentiality and security of Customer Data in accordance with our Privacy Policy (last updated May 2026).
Each party acknowledges that it may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without the prior written consent of the disclosing party.
Customer agrees to indemnify, defend, and hold harmless Mainstreet from and against any claims, damages, losses, costs, and expenses arising from Customer's use of the Services, violation of this Agreement, or infringement of any third party rights.
Customer represents and warrants that it has the authority to enter into this Agreement, that all information provided is accurate and complete, and that its use of the Services will comply with all applicable laws and regulations.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MAINSTREET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL MAINSTREET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
All notices required under this Agreement shall be in writing and delivered by email to the addresses provided by the parties. Notices shall be deemed received when sent to the correct email address.
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
